Posting Job Description Rights and Clearances/Contract Specialist (Legal)
Job Responsibilities: Individual to help process rights and clearances for AOL's domestic and/or international services, portals, products and advertising business ("AOL"). Job responsibilities for this position include: (1) responding to and ultimately managing incoming and outgoing third party requests for permission to use AOL corporate assets/property domestically and/or internationally; (2) managing rights and clearances research requests for content licensed by AOL, and fielding queries and research regarding the availability of content for new and existing domestic channels and other ventures including online and offline marketing campaigns; (3) assessing current rights under content licenses (contract interpretation) with regard to new product and device uses; (4) locating and retrieving content contracts for review, and entering content contract summary information into existing database, including updating database records as needed; (5) obtaining additional rights for content use where necessary; (6) assisting in drafting and negotiating contracts; (7) assisting in educating business units regarding the use of AOL's rights and clearances database and process and relevant legal concepts (including fair use, rights of publicity and endorsement, etc.) with other teams in AOL Legal; (8) reviewing and advising on marketing materials, programming reviews, scope of license reviews and advising internal and external business clients. At least 50% of this job requires administrative document handling, including: document scanning prep, logging documents into pre-existing tracking systems, updating Content Team and Rights & Clearances Team charts, and maintaining the accuracy of records in the proprietary Rights & Clearances database.
Education: BA/BS required. A paralegal certificate is helpful but not required
Experience: The successful candidate must have a minimum of 2-5 years of relevant experience in or with a law firm or corporate legal department,. Experience with contracts is required; experience in entertainment, sports, news, photography or other subject areas helpful, but not required..
Specialized Knowledge: This position requires working knowledge of basic legal terminology and contract concepts. Marketing or Internet experience is a plus.
Skills Required: The successful candidate must have strong oral and written verbal and interpersonal communication skills; strong analytical, problem solving and negotiation skills; superior attention to detail and organizational skills; strong work ethic; team-oriented attitude; and an enthusiastic interest in learning about the Internet, copyright and fair use doctrines, intellectual property and marketing law; and demonstrated ability to (i) juggle and prioritize multiple tasks and deadlines simultaneously, with flexibility to changing priorities; (ii) analyze and negotiate effectively and apply innovative and creative solutions to problems; (iii) translate standard legal verbiage into common understandable terms for the internal and external customers; (iv) professionally and effectively communicate with all levels of staff within the company and external partner groups; (v) make decisions, exercise resourcefulness and work independently while seeking input from business clients and attorneys as appropriate; (vi) produce written documents with clearly organized thoughts using proper sentence structure, punctuation and grammar; (vii) comprehend and make inferences from written material and (viii) demonstrate a willingness to learn and follow AOL's contract-handling processes. Must speak English fluently. Fluency or proficiency in other languages is a plus.
